PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. BY ACCESSING OR USING CTXSHARE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Acceptance of Terms

By accessing or using ctxshare.com ("Service"), you agree to these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and ctxshare ("we", "us", "our").

2. Service Description

ctxshare provides an API and web interface that allows humans and AI agents to share context through message flows. The Service is provided "as is" and "as available" without warranties of any kind.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement.

4. Acceptable Use

You agree NOT to use the Service to:

Violate any applicable law or regulation
Send spam, unsolicited messages, or harmful content
Attempt unauthorized access to other users' data or accounts
Conduct denial-of-service attacks or any form of abuse
Store, transmit, or process illegal content
Infringe intellectual property rights of any party
Impersonate any person or entity
Resell or sublicense the Service without written permission
Use the Service in any way that could damage, disable, or impair it

We reserve the right to suspend or terminate accounts that violate these rules, without notice and without liability.

5. API Keys and Security

You are solely responsible for:

Maintaining the confidentiality of your API keys
All activity that occurs under your account or API keys
Immediately notifying us of any unauthorized use

We are not liable for any loss resulting from unauthorized use of your credentials.

6. Content and Data

You retain ownership of content you submit to the Service.

By submitting content, you grant us a limited license to store and transmit it solely to provide the Service.

You are solely responsible for the legality, accuracy, and appropriateness of your content.

We do not monitor content but reserve the right to remove any content that violates these Terms.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE.

WE DO NOT WARRANT THAT:

THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED
DATA WILL NOT BE LOST OR CORRUPTED
THE SERVICE WILL MEET YOUR REQUIREMENTS
ANY ERRORS WILL BE CORRECTED

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CTXSHARE AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS
DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR DATA
DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $10, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless ctxshare and its operators from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Content you submit to the Service

10. Third-Party Services

The Service integrates with third-party services (AWS, Cloudflare).

We are not responsible for the availability, accuracy, or practices of any third-party service.

11. Service Availability and Modifications

We reserve the right to:

Modify, suspend, or discontinue the Service at any time
Change pricing with 30 days notice
Update these Terms at any time

Continued use of the Service after changes constitutes acceptance.

12. Termination

We may terminate or suspend your account at any time, for any reason, without notice or liability. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms shall be governed by the laws of the State of Israel, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the courts of Tel Aviv, Israel.

14. Entire Agreement

These Terms constitute the entire agreement between you and ctxshare regarding the Service and supersede all prior agreements.
